1. General

These Terms and Conditions (“Terms”) govern the contractual relationship between The Inner Arc GmbH (hereafter “we,” “us,” or “The Inner Arc”) and you as the client or participant (“you” or “Client”). By using our website, booking services, or engaging with us in any capacity, you agree to these Terms in full.

Any conflicting general terms and conditions from your side are expressly excluded unless we have explicitly agreed in writing.

2. Contract Formation and Offers

All offers are non-binding and subject to change unless expressly confirmed in writing. A contract is only formed when we send you a written booking confirmation or invoice.

3. Payments and Invoicing

Invoices are due upon receipt and must be paid within the specified payment terms. Payment methods will be communicated individually.

Failure to pay on time entitles us to charge default interest and, after a reminder, to suspend services or terminate the contract without prejudice to further claims.

4. Cancellation and Rescheduling

You may cancel your booking by notifying us in writing. The following cancellation fees apply:

• More than 60 days before the start date: loss of deposit

• Between 30 and 60 days: 50% of total price

• Less than 30 days: 100% of total price

We reserve the right to cancel events or services for operational or unforeseen reasons, in which case you will receive a full refund or the option to reschedule.

5. Your Obligations and Health Responsibility

You warrant that you are physically and mentally capable of participating in our programs and assume all responsibility for your health and safety.

You agree to follow instructions and guidance provided by our staff and facilitators. We reserve the right to exclude participants whose conduct endangers themselves or others without refund.

6. Liability

The Inner Arc GmbH and its employees, agents, and contractors shall be liable only for damages caused by intent or gross negligence.

In cases of simple negligence, liability is limited to damages resulting from the breach of essential contractual obligations (“cardinal obligations”) and is restricted to typical, foreseeable damages.

We disclaim liability for any indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption.

We do not assume liability for damages arising from force majeure or events beyond our reasonable control.

This liability limitation applies to the fullest extent permitted by law.

7. Force Majeure

In the event of force majeure (e.g., natural disasters, pandemics, strikes, governmental restrictions), we are released from the obligation to provide services. We will inform you promptly and offer alternatives or refunds as appropriate.

8. Intellectual Property and Usage Rights

All content and materials provided by The Inner Arc GmbH on our website, during events, or through any communications — including but not limited to texts, images, audio, video, designs, and logos — are protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use this content solely for your personal, non-commercial use.

Any reproduction, distribution, public display, modification, or commercial use of our content without prior written consent from The Inner Arc GmbH is strictly prohibited and will be prosecuted to the fullest extent permitted by law.

If you believe that your copyright or other intellectual property rights have been infringed by content on our platforms, please notify us immediately at contact@theinnerarc.co so we can investigate and take appropriate action.

9. Privacy and Data Protection

We do not control and are not responsible for the accuracy, legality, or content of third-party websites or resources.

12. Electronic Communications, Transactions, and Signatures

• Should any provision of these Terms be invalid, this will not affect the validity of the remaining provisions.

• Changes and amendments require written form.

• The contract and these Terms are governed by German law.

• Jurisdiction for all disputes arising from or relating to the contract is the registered office of The Inner Arc GmbH.
